The agreement between you and Dealgrounds.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dealgrounds Inc. ("Dealgrounds," "we," "us," or "our"), a corporation incorporated under the laws of Quebec, Canada, with its registered office in Montreal, Quebec.
By accessing or using the Dealgrounds platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Dealgrounds provides a relationship intelligence and client entertainment management platform that enables organisations to plan, approve, track, and measure the ROI of client entertainment activities. Our Services include experience curation, approval workflows, CRM integrations, AI-powered suggestions, and analytics dashboards.

Access to the Dealgrounds platform requires a paid subscription. Fees are based on your selected plan and are billed in advance on a monthly or annual basis. All fees are quoted in Canadian dollars (CAD) unless otherwise specified.
By subscribing, you authorise us to charge your designated payment method for all applicable fees. If payment fails, we may suspend access to the Services until payment is received.
Annual subscriptions are non-refundable except as required by applicable law. Monthly subscriptions may be cancelled at any time, effective at the end of the current billing period.

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and trademarks — are owned by Dealgrounds or its licensors and are protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
You retain ownership of all data you submit to the Services ("Your Data"). By using the Services, you grant Dealgrounds a limited licence to process Your Data solely to provide and improve the Services. We will not sell, share, or use Your Data for purposes unrelated to the Services. Our handling of Your Data is governed by our Privacy Policy.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We strive to maintain 99.9% uptime for the Dealgrounds platform. However, the Services are provided "as is" and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when possible.
To the maximum extent permitted by applicable law, Dealgrounds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services. Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Dealgrounds, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe is harmful to the Services or other users.
Upon termination, your right to use the Services ceases immediately. We will retain Your Data for 90 days following termination, after which it will be deleted unless retention is required by law.
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
